(rev. 10/08/23) DIGITAL MARKETING SALES CONSULTANT AGREEMENT

This agreement for Digital Marketing Sales Consultant Agreement (the "Agreement") is made and effective as of the date of this form submission. By submitting the form below, you are executing this agreement in whole and both parties agree to act in good-faith to uphold its stated purpose(s).

BETWEEN: GOALS PARTNERS LLC (the "Goals Partners"), a company organized and existing under the law of The State of Ohio with its head office located in Cincinnati, Ohio. 

AND: The individual (herein "Sales Consultant") requesting authorization to represent the Digital Marketing Service Provider, Goals Partners, as follows in the form below.

1.) ENGAGEMENT OF SERVICES

The Sales Consultant will serve as a Goals Partners LLC (herein "Goals Partners") representative to sell multiple digital marketing solutions. Digital Marketing Solutions means managed services for Social Media Management, Reputation/Reviews Management, Search Engine Optimization Services (SEO), Web Design and Development, Digital Advertisement Services, and additional services as required by clients and as directed by Goals Partners. The Sales Consultant will update the Goals Partners on the progress and demand of the marketplace, while Goals Partners will update the Sales Consultant on new opportunities with Digital Marketing. We require Sales Consultants to keep an up-to-date CRM status so as management has an opportunity to assist the Sales Consultant as required.

2.) COMPENSATION

Goals Partners will pay the Sales Consultant a commission of 20% on the revenues received from any solutions sold. Additional sales bonus opportunities will be announced designed to provide the Sales Consultant with increased incentive to maximize revenue generated. Goals Partners agrees to reimburse the Sales Consultant in an amount no greater than $500/year for any dollars spent for networking group membership fees. Sales Consultant must provide a receipt of membership dues purchased to receive compensation and at least one account must be active and commission paid at the time of the reimbursement. Business cards will be provided directly to the Sales Consultant upon execution of this electric document. Commissions will be paid on the next Friday once payment(s) from client(s)/customer(s) have cleared (typically 3-7 business days). Commission payments will typically be remitted via Zelle or a similar service, but could be sent via other forms. In the event the Sales Consultant leaves the Goals Partners organization and/or declines to service accounts: A Sales Consultant will no longer receive commissions if the Sales Consultant chooses to no longer service existing/paying clients to the degree required by Goals Partners, e.g. if another representative from Goals Partners must be put into place to service a client, the Sales Consultant forfeits all future commissions for that client.

EXCEPTION: An exception to “a commission of 20% on the revenues received from any solutions sold” is for Digital Advertising Products. The majority of revenues collected FOR DIGITAL ADVERTISING is client ad-spend which is passed-through to the advertising platforms. Commissions will be paid on our mark-up over client ad-spend. For example: If the Digital Advertising Product LOCALADS is sold for $499 One-Time Set-Up Fee + $2250/mo Recurring Charge, a 20% commission will paid on the set-up fee ($99.80 in one-time commission paid), and the monthly recurring commission will be paid on $1000 (=$200 in recurring commission per month).

3.) INVOICING/PAYMENT

The Sales Consultant will be responsible for assisting their clients/customers as needed to procure payment of services agreed upon via our online portal at https://www.goalspartners.com. Additional forms of payment may be accepted and must be cleared with management. Goals Partners shall have sole discretion to set prices for all solutions offered.

4.) SUB-CONTRACTOR 1099 AGREEMENT

Employment/Agreement with Goals Partners and the Sales Consultant is at will and may be terminated by either party at any time. Written notice from either party is required. Any outstanding commissions and ongoing recurring revenue will continue to pay the Sales Consultant commission as long as the client is remitting payment to Goals Partners. Cancellation or charge-back from a client will result in commissions being held on any future sales to make up the charge-back or similar.
